Why the Treaty of Amity still matters in 2026

The Foreign Business Act (FBA) B.E. 2542 blocks foreign majority ownership in most service and trading categories. Americans are the only nationality with a bilateral treaty that overrides this restriction — a strategic advantage no other Western passport offers in Thailand.

Who qualifies

Two eligibility paths under Article IV of the Treaty:

  • Individual — a US citizen (natural person) with a valid US passport
  • Corporate — a company incorporated in the US, with at least 50% US-citizen ownership traced to the ultimate beneficial owners
  • Executives and majority of directors must be US citizens or Thai nationals — no third-country majority

What Treaty companies cannot do

The Treaty carves out six restricted sectors where 100% US ownership is not permitted, even with Amity registration:

  • Communications (telecoms, broadcasting)
  • Transport (land, sea, air)
  • Fiduciary functions (custodial, trust)
  • Banking involving depository functions
  • Exploitation of land or other natural resources
  • Domestic trade in indigenous agricultural products

Frequently asked questions

Do I need a Thai shareholder at all?+

No. Under Amity, 100% US-national ownership is legal in permitted sectors. A Thai nominee is neither required nor recommended.

Can a Delaware LLC be the shareholder?+

Yes, provided at least 50% of the LLC's ultimate beneficial owners are US citizens and documentation traces cleanly to them.

Is the Treaty certificate permanent?+

Yes. Once issued by DBD, it does not expire and there is no annual renewal. Ownership changes that break the 50% US threshold, however, void it.

Can a Treaty company hold land?+

No — land ownership is one of the six excluded sectors. Property must be leased or held via a separate structure.

Amity vs BOI vs FBL — which is right for me?+

Amity if you are US and in a permitted sector. BOI if you want tax holidays and land ownership rights, regardless of nationality. FBL only when neither applies.

What is the minimum paid-up capital?+

THB 2M for a service company employing foreigners (THB 3M if the activity itself would otherwise require an FBL). Paid up on registration or over the standard schedule.

Does my spouse's US citizenship qualify me?+

No — the shareholder(s) themselves must be US citizens or a qualifying US corporation.
