Multinational groups establishing a Thai company to provide managerial, technical, support or treasury services to affiliated enterprises in Thailand and abroad.
Filing sequence at a glance
Incorporate a Thai limited company → apply to the Revenue Department for IBC tax privileges → optionally seek BOI promotion for non-tax privileges.
Conditions to meet
- Paid-up capital of at least THB 10 million on the last day of each accounting period.
- At least 10 knowledgeable and skilled employees based in Thailand, or 5 if operating solely as a treasury centre.
- Operating expenditure paid to recipients in Thailand of at least THB 60 million per accounting period to access the reduced tax rates.
- Services must be provided to associated enterprises as legally defined, with privileged income accounted for separately.
Documents to prepare
- Thai company affidavit and financial statements evidencing paid-up capital.
- Group structure and the list of associated enterprises in Thailand and abroad.
- Intercompany service agreements and the transfer-pricing policy.
- Employee register and evidence of employment in Thailand.
Step-by-step process
- Incorporate the company and align the service scope with the IBC definition.
- File the IBC approval application with the Revenue Department with supporting documents.
- Maintain the capital, headcount and local expenditure conditions in every accounting period.
- File annual tax returns with documentation supporting use of the privileges.
Common mistakes
- Failing to maintain the annual conditions, leading to retrospective revocation and extra tax.
- Serving entities that do not meet the associated-enterprise definition.
- Lacking transfer-pricing documentation to support intercompany service fees.
